Terms and Conditions of Use

These Terms and Conditions ("Terms") form a legally binding agreement between you ("the User", "you") and iNRECO Consulting, trading as VERDIQT ("VERDIQT", "we", "us"), a business operated by C. Badenhorst, sole proprietor, with its principal place of business in Pretoria, Gauteng, South Africa. By creating an account, activating a device, or using the VERDIQT application ("the App") in any way, you agree to be bound by these Terms. If you do not agree, do not use the App.

1.1 Who VERDIQT Is VERDIQT is a once-off licensed software tool that helps consultants, HR practitioners and employers run disciplinary hearings in line with South African labour law. The App generates charge sheets, guides hearing procedure, and produces outcome letters and findings based on information that you, the User, type into the App.

1.2 What VERDIQT Is Not VERDIQT is a documentation and workflow tool. It does not replace a qualified labour law practitioner, attorney, or registered CCMA representative, and it does not provide legal advice. See the Disclaimer for the full position.

1.3 Eligibility and Account Registration You must be 18 years or older and have the legal capacity to contract to purchase or use VERDIQT. You must provide accurate information when purchasing a licence and activating a device (name, email address, contact number, and payment details processed by our payment provider). You are responsible for keeping your login credentials confidential. Any activity carried out under your account is treated as carried out by you. One licence permits activation on the number of devices stated in your purchased tier (Basic: 1 device; Standard: 5 devices; Enterprise: 10 devices, extra devices available at the published monthly rate).

1.4 Licence Model — "Pay Once, Own Forever" VERDIQT is sold as a once-off licence fee per the pricing tier you select. "Own forever" refers to your right to continue using the version of the App's core features for which you paid, for as long as VERDIQT operates the service and your device(s) remain activated. It does not transfer ownership of the underlying software, source code, or intellectual property to you — see the EULA for full licence terms. Optional add-ons (LiveUpdate, extra devices, white-labelling) are billed separately as stated on the pricing page and may attract recurring monthly charges.

1.5 Fees, Billing and Payment All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where VAT is applicable, unless stated otherwise. Once-off licence fees are payable in full before a device is activated. Recurring fees (LiveUpdate, extra devices) are billed monthly in advance via our payment processor and continue until cancelled by you through your account settings or by written notice to info@inreco.co.za. We reserve the right to change pricing for new purchases and for renewal of recurring add-ons, with at least 30 days' notice to existing recurring-billing subscribers.

1.6 Your Responsibilities as a User You are solely responsible for the accuracy, lawfulness, and completeness of any charge sheets, evidence notes, findings, or outcome letters you generate using the App. You are responsible for ensuring that your use of the App, and the disciplinary processes you run with its assistance, comply with the Labour Relations Act 66 of 1995, the applicable Code of Good Practice, any sectoral determination, collective agreement, or your organisation's own disciplinary code. You are responsible for backing up data stored on your device. Because VERDIQT does not store your case data on its servers, if your device is lost, stolen, damaged, reset, or the App is uninstalled, that data may be permanently and irretrievably lost, and VERDIQT cannot restore it. You may not use the App to generate fraudulent, defamatory, or knowingly false documentation, or to victimise, harass or unlawfully discriminate against any employee.

1.7 Intellectual Property All intellectual property in the App, including its software, design, templates, branding, the VERDIQT and iNRECO names and logos, and underlying legal content libraries, belongs to iNRECO Consulting / C. Badenhorst. Nothing in these Terms transfers any intellectual property rights to you, save for the limited licence to use the App described in the EULA.

1.8 Availability, Updates and LiveUpdate The App is designed to work offline as a Progressive Web App (PWA). Certain functions (such as initial activation, payment, and LiveUpdate content delivery) require an internet connection. We do not guarantee uninterrupted availability of online services and are not liable for downtime caused by your internet service provider, device, or factors outside our reasonable control. LiveUpdate subscribers receive updates to legal content as and when we publish them; LiveUpdate does not guarantee that every legislative change will be reflected immediately.

1.9 Suspension and Termination We may suspend or terminate your access to recurring services if payment is not received, or if you breach these Terms, the Acceptable Use Policy, or applicable law. Termination of recurring services does not entitle you to a refund of once-off licence fees already paid, except as required under the Refund Policy or applicable consumer protection law.

1.10 Limitation of Liability To the maximum extent permitted by law, VERDIQT's total liability to you for any claim arising from or relating to the App is limited to the amount you paid for the relevant licence tier in the 12 months preceding the claim. VERDIQT is not liable for indirect, special, or consequential loss, including loss of profit, loss of data, or loss arising from a CCMA or Labour Court outcome, save where such liability cannot lawfully be excluded.

1.11 Governing Law and Disputes These Terms are governed by the laws of the Republic of South Africa. Any dispute will first be referred to good-faith negotiation between the parties, failing which it may be referred to mediation or to the courts of South Africa having jurisdiction.

1.12 Changes to These Terms We may update these Terms from time to time. Material changes will be notified through the App or by email to your registered address at least 14 days before they take effect. Continued use of the App after that date constitutes acceptance of the updated Terms.
